Gowan Crop Protection Acquires Global Rights to Active Ingredient for TRIGARD® and LEPICRON® Insecticides

Harpenden, England, January 10, 2024 – Gowan Crop Protection Limited, an affiliate of Gowan Company, L.L.C., announced today that it has entered into agreements with Syngenta Crop Protection AG to acquire global rights to the active ingredient cyromazine. The acquisition includes product registrations and trademarks, including TRIGARD® and LEPICRON®, and related intellectual property and labels. The acquisition excludes the trademark CITATION® for use on ornamentals. The transaction closed on December 28, 2023, although Syngenta and Gowan will work together over the next several months to facilitate an orderly transition to maintain quality customer service in all geographies. US crop protection and seed treatment product transfer will commence in a few years. The financial terms of the transaction were not disclosed.

Cyromazine is an IRAC Group 17 insecticide that acts as a moulting disruptor in Dipteran. Species such as leaf miner are a significant pest in the main vegetables worldwide. Cyromazine has been a current tool for thousands of farmers with a unique mechanism of action and a soft profile for non-target organisms.

A cornerstone of Gowan’s Muddy Boots philosophy is to support growers and distribution partners in meeting the challenges of controlling destructive weeds, insects, or pathogens infesting crops. Gowan believes this acquisition will enhance its core product offering in vegetables and allow the company to serve growers’ needs better in these crops.

EU Nonrenewal Regulation Decision for Phosmet Published

HARPENDEN, England, January 25th, 2022 – Today, the European Commission published the Implementing Regulation withdrawing the approval of the active substance Phosmet. A majority of EU Member States had voted in favor of this step. The non-approval decision for the active substance Phosmet will enter into force on February 1st, 2022. Member States will have to withdraw the registrations of plant protection products containing Phosmet by May 1st, 2022. The grace period for selling and using plant protection products containing Phosmet will expire on November 1st, 2022.

The current Maximum Residue Levels for Phosmet remain valid for the time being. According to Article 12 of Regulation (EC) No 396/2005, EFSA just initiated a review of the existing EU MRLs that the RMS-Spain will conduct. According to EFSA, the reasoned opinion and MRLs adoption are expected by January 2023.

Gowan Takes Isagro S.P.A Private And Begins Integration Into Gowan

Gowan Purchases Entire Corporate Capital of Piemme, Which has Control Over Isagro

Yuma, Arizona, May 14, 2021 – Gowan Company is pleased to announce the close of the agreement to purchase all the capital of Piemme S.r.l. from Giorgio Basile and other shareholders, representing 99.9% of the corporate capital in Piemme. Piemme S.r.l. is the indirect controlling shareholder of Isagro S.p.A. The transaction completed today is the first step in Gowan Company’s plan to purchase all of the shares of Isagro S.p.A.

Gowan plans to move forward consistent with Italian law to launch – through its entirely owned subsidiary, Crop Demetra Limited – a mandatory tender offer (MTO) to purchase all outstanding shares of Isagro. At the close of this transaction, Giorgio Basile, CEO, and founder of Isagro, has resigned from Isagro’s Board and from management of the company, along with three other directors nominated by his holding company. Mr. Bonetti has over 18 years of experience working with Isagro in various roles, including Chief Operating Officer and membership on its Board of Directors. The purchase of Piemme by Gowan will close after the following caveats have been met: the obtaining of the clearance by the competent regulatory authorities according to antitrust law and golden power regulation, if required; and the termination of any outstanding relationships between Isagro and its subsidiaries, on one hand, and any entity located in countries or regions (including Cuba) where any U.S. person cannot conduct business according to any applicable law on the other hand.

Subject to the conditions mentioned above, it is believed that the closing will occur within the first semester of 2021, and the MTO will be completed within the third quarter of 2021.

Phosmet Determined Acceptable with Additional Risk Mitgation Measures

WINNIPEG, Canada, January 7, 2021 – Gowan is very pleased to announce that on October 30, 2020, Health Canada announced its plan to approve continued registration of the active ingredient Phosmet and associated products for use on agricultural crops in Canada. Under the authority of Canada’s Pest Control Products Act, all registered pesticides must be re- evaluated by Health Canada’s Pest Management Regulatory Agency (PMRA) to ensure that they continue to meet current health and environmental standards and continue to have value. The re-evaluation considers data and information from pesticide manufacturers, published scientific reports and other regulatory agencies, in addition to comments received during public consultations. Health Canada applies internationally accepted risk assessment methods as well as current risk management approaches and policies and makes science-based decisions.

Specifically, the risk assessment states “Health Canada has determined that continued registration of products containing Phosmet is acceptable with additional risk mitigation measures. An evaluation of available scientific information found that some uses (fruit trees, berries, carrots, celery, potatoes and outdoor ornamentals not grown for cut flowers) of Phosmet products meet current standards for the protection of human health and the environment”.

Gowan has supported Phosmet registrations throughout the world by generating scientific data and providing those data regulatory authorities to confirm Phosmet’s continued safe use in agriculture. Tetris – a new fungicide from Gowan Crop Protection.

HARPENDEN, UK, January 27, 2021 – Gowan is pleased to announce that a new product called Tetris from the fungicide category is available for use by Polish Farmers. Tetris is a systemic micro-emulsion (ME) fungicide for preventive, interventional and therapeutic use against fungal diseases. Tetris fungicide contains the active substance Tetraconazole in the appropriate proportions of 125 g per liter of the agent. The agent is intended for use by professional users, using self-propelled or tractor field sprayers.

Tetris is effective in preventing infection and treating infected sugar beet and winter wheat crops. The agent is intended to combat fungal diseases in sugar beet crops, such as: beetroot beetle, powdery mildew and beetroot rust. On the other hand, in winter wheat crops it fights the following infections: powdery mildew of cereals and grasses, brown rust, yellow rust and striped septoriosis of leaves.
Use the product prophylactically or immediately after noticing the first symptoms of diseases, in accordance with the dose recommendations on the label.
The period from the last application of the product to the day of the harvest of the crop (waiting period): winter wheat – not applicable, sugar beet – 30 days.
Use the agent at air temperature above 12°C and alternately with fungicides belonging to other chemical groups.
